1. Agreement to Terms

These Terms of Service are an agreement between you and Midori Labs LLC ("Midori Labs," "we," "us," or "our"). By accessing or using Novara ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

Midori Labs provides Novara, a cloud-based field service management platform that includes job tracking, scheduling, invoicing, customer communication, and team coordination tools. The Service is available via web browser and mobile applications.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to transmit harmful, fraudulent, or unlawful content, or to interfere with the operation of the Service.

5. Subscription and Billing

Access to certain features requires a paid subscription. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, and cancellation takes effect at the end of the current billing period.

6. Data Ownership

You retain ownership of all data you input into the Service. Midori Labs does not claim ownership of your content. We may use aggregated, anonymized data to improve the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Midori Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

8. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data before account closure.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
